Introduction

Welcome to unifiedsystems.ro, the Unified Systems website.

These Terms and Conditions set out the rules applicable to the use of the website, requesting and contracting Unified Systems services, and purchasing and receiving products available through the website.

Unified Systems provides both custom services, which may require analysis, a commercial proposal or an individual agreement, and digital products that may be purchased directly online.

Simply browsing the website does not require you to purchase any product or service.

When you place an order, accept a commercial proposal, sign an agreement or complete the purchase of a product available directly online, the contractual relationship is governed by these Terms together with the specific product conditions, commercial proposal or individual agreement, as applicable.

If you qualify as a consumer, nothing in these Terms limits any rights that are mandatorily granted to you by law.

03

About Unified Systems

Unified Systems builds, implements and connects digital solutions for companies, entrepreneurs, organisations and individuals.

Unified Systems operates across areas including identity, digital experience and ecommerce, customer acquisition, infrastructure and automation, tracking and analytics, data, software and intelligence.

Services may be provided as a complete project, an individual system, a standalone product, an ad-hoc intervention, a recurring service or a digital product.

The availability, characteristics, price and exact conditions of each product or service are those stated on the relevant page, in the commercial proposal or in the applicable individual agreement.

04

Scope

These Terms apply to the use of unifiedsystems.ro, commercial enquiries addressed to Unified Systems, services contracted through a proposal or agreement, products purchased directly online, digital products and content including Unified Engine reports, and commercial relationships with both B2B Clients and individuals or consumers.

Additional conditions may apply to certain products or projects.

If these Terms conflict with an individual agreement or accepted proposal that expressly governs a specific matter, the specific provision agreed between the parties will prevail to the extent permitted by law.

06

Acceptance of the Terms and contract formation

For custom services or projects, a contract may be formed through written acceptance of a proposal, signature of an agreement, express confirmation of an order or another mechanism agreed between the parties.

A simple request for information does not constitute acceptance of an offer and does not require Unified Systems to begin providing a service.

For Unified Engine digital products available for direct online purchase, contracting takes place through the electronic checkout process.

The Client selects the product, provides the requested information, checks the order details, accepts the applicable Terms and completes the online payment.

After successful completion of the order and payment, the Client receives electronic confirmation of the order and the relevant contractual information.

07

Website use

The website may be used for information, contacting Unified Systems, requesting services and directly purchasing products for which that functionality is available.

The website must not be used for:

  • unauthorised access to systems or data;
  • introducing harmful content;
  • disrupting the availability or security of the website;
  • fraud, impersonation or intentionally providing false information;
  • infringing the rights of Unified Systems or third parties;
  • any other activity contrary to applicable law.

Unified Systems may implement reasonable technical measures necessary to prevent abuse and protect its infrastructure.

08

Products and services

The Unified Systems offering may include:

  • complete projects;
  • individual systems;
  • defined-scope services;
  • ad-hoc interventions;
  • time-based services;
  • recurring services;
  • audits and analyses;
  • reports and digital products;
  • software;
  • implementations, integrations and automations;
  • marketing, tracking, analytics and intelligence services.

The offering may change over time.

The presence of a product or service on the website does not guarantee its permanent availability.

For custom services, the final conditions are those communicated to the Client through the proposal or agreement.

09

Requesting and contracting custom services

The Client may send a request through a form, email, phone, WhatsApp or other channels made available by Unified Systems.

Depending on the nature of the service, we may request additional information to understand the issue, existing infrastructure, requirements, workload and desired result.

For custom projects, the proposal or agreement may include the project scope, deliverables, price, payment method, stages, responsibilities of the parties, deadlines and any acceptance conditions.

Performance begins in accordance with the conditions agreed for the relevant project.

10

Direct purchase of digital products

Unified Engine digital products may be purchased directly through the website.

  1. 01Select the report
  2. 02Complete the required information
  3. 03Review the order
  4. 04Accept the applicable conditions
  5. 05Pay online by card
  6. 06Order and payment confirmation
  7. 07Automatic delivery of the report

There is no manual confirmation or approval stage before the standard delivery of the report.

Before submitting the order, the Client will be presented with the essential information concerning the product and the applicable price.

The Client will be able to review and correct the information entered before completing the purchase.

The function used to complete an order that creates a payment obligation will clearly indicate that obligation.

11

Payment

Unified Engine products are paid for online by card through the payment processor available at the time of purchase.

Other payment methods may be available for other products or services, as stated on the website, in the proposal or in the agreement.

Full card details may be processed directly by the payment services provider used for the transaction, in accordance with that provider’s own terms and policies.

If payment is not authorised or cannot be confirmed, a product requiring full payment in advance will not be delivered until the issue is resolved.

12

Prices and VAT

Prices are those displayed on the website or communicated to the Client through a commercial proposal.

NOTE

As of the last update of these Terms, S.C. Eight Sigma S.R.L. is not registered for VAT purposes. If the company becomes VAT-registered, the base prices communicated or displayed will remain the applicable base prices and VAT will be added at the applicable rate and under the applicable tax regime unless expressly stated otherwise.

For consumers, the total amount actually payable, including VAT and any other mandatory taxes applicable at that time, will be clearly displayed before the purchase is completed.

For B2B Clients, the base price, VAT and other tax components may be shown separately.

Third-party provider costs are not included in Unified Systems prices unless expressly stated otherwise.

Such costs may include, for example, media budgets, licences, applications, cloud services, domains, hosting, email services, APIs or software subscriptions.

13

Delivery of Unified Engine products

For Unified Engine products purchased directly online, supply begins after successful completion of the order and confirmation of payment.

The report is delivered automatically in digital form.

Delivery may take place by email, secure link, direct download, user account or another method indicated during the purchase process.

No manual commercial confirmation by Unified Systems is required before delivery.

The supply obligation is fulfilled when the content or the appropriate means of access or download becomes available to the Client.

If a technical error prevents automatic delivery, Unified Systems will make reasonable efforts to resume supply or, if that is not possible, apply the appropriate remedies.

14

Performance of services

The timeframe and method of performing custom services are established through the proposal, agreement or product conditions.

Performance may depend on payment, provision of materials, access credentials, information or approvals required from the Client.

If performance is delayed because the Client does not fulfil its obligations on time, the relevant deadlines may be adjusted accordingly.

15

Client obligations

The Client must provide correct and sufficient data and information for the performance of the product or service.

Where Unified Systems requires access to platforms, accounts, systems, files or data, the Client must ensure that it has the legal right to grant that access.

The Client is responsible for the materials it provides and represents that it holds the necessary rights to those materials.

For projects requiring Client approvals, the Client must communicate approvals or comments within a reasonable timeframe.

Unified Systems is not required to carry out an unlawful request or a request involving unauthorised use of another person’s data, infrastructure or intellectual property.

16

Changes to project scope

The proposal or agreement defines the original scope of the service.

Subsequent requests that change functionality, workload, number of deliverables, integrations with other systems or the agreed conditions may constitute a change in project scope.

Before additional work is carried out, Unified Systems may communicate an additional cost, fixed price, hourly rate or extension to the existing proposal or agreement.

Where the agreement already provides a mechanism for additional work, that mechanism will apply.

17

Ad-hoc interventions and hourly rates

Certain services may be provided as ad-hoc interventions.

Where a service is charged according to time spent, the applicable rate is the rate communicated on the website, in the proposal or in the agreement.

For certain interventions, Unified Systems may use a rate of EUR 50 per hour where that rate has been communicated and accepted for the relevant service.

The hourly rate does not automatically apply to all Unified Systems products and projects.

18

Consumers’ right of withdrawal

IMPORTANT FOR CONSUMERS

This section applies exclusively to Clients who legally qualify as consumers.

As a general rule, distance contracts benefit from the right of withdrawal within the period provided by law, subject to the applicable statutory exceptions.

For digital content not supplied on a tangible medium, the law allows an exception from the right of withdrawal after performance has begun where the statutory conditions regarding the consumer’s prior express consent, acknowledgement of the loss of the right of withdrawal and confirmation of the contract by the trader are cumulatively satisfied.

19

Immediate Unified Engine delivery and withdrawal

UNIFIED ENGINE

Unified Engine reports are digital products normally intended for immediate delivery after payment.

If a consumer requests immediate supply of the report before expiry of the statutory withdrawal period, the checkout will separately request the express consent required for supply to begin.

The consumer will be asked to confirm that they understand that, once supply of the digital content has begun, they may lose their right of withdrawal under the conditions provided by law.

This acceptance will not be treated as implied merely through use of the website and must not result from a preselected option.

The order confirmation will include or be accompanied by the relevant contractual information on a durable medium, normally by email.

If these conditions are not satisfied, Unified Systems will not treat the right of withdrawal as automatically lost.

20

Conformity of digital products and services

DIGITAL PRODUCTS

Digital products and services supplied to consumers benefit from the mandatory rights provided by the applicable legislation on conformity.

Unified Systems will supply the digital product in accordance with the description and characteristics communicated at the time of contracting.

If a digital product or service supplied to a consumer is not delivered or is not in conformity, the consumer benefits from the remedies provided by law.

21

Cancellation, suspension and termination of services

For B2B Clients, rules regarding cancellation, suspension or termination of a project are established through the proposal or agreement where such documents exist.

Unified Systems may suspend performance of a service if the Client fails to make a payment due, fails to provide essential information or access, requests unlawful activity or creates a substantial security risk to systems.

Where reasonable and possible, the Client will be given an opportunity to remedy the situation.

For consumers, this section does not limit mandatory rights concerning withdrawal, conformity or termination of the contract.

22

Intellectual property in the website

The text, design, graphics, trademarks, structure, materials, software and original content used on unifiedsystems.ro are protected under applicable intellectual property law.

They may not be copied, distributed, sold, republished, modified or commercially exploited without the permission of the relevant rights holder, except where permitted by law.

Accessing the website does not transfer any intellectual property rights to the user.

23

Intellectual property in deliverables

The rights applicable to deliverables may vary depending on the product and project.

The individual proposal or agreement may provide for the transfer of certain economic rights or the grant of a licence.

Pre-existing and reusable Unified Systems components are not transferred to the Client unless expressly agreed otherwise.

  • methodologies;
  • frameworks;
  • libraries;
  • generic software modules;
  • templates;
  • tools;
  • processes;
  • know-how;
  • components developed independently of the project.

The Client receives the rights of use required for the final deliverable under the conditions of the relevant product, proposal or agreement.

Transfer of rights may be conditional on full payment of the amounts due.

24

Unified Engine products and rights of use

Purchasing a Unified Engine report grants the Client the right to use the report for their own personal, professional or commercial purposes, as applicable.

Purchasing the report does not transfer rights in Unified Engine, its methodology, algorithms, processes, software, models, internal analysis structure or other proprietary components used to generate the report.

The report may not be resold or redistributed as a Unified Systems commercial product without our consent unless the product page or a separate agreement provides otherwise.

25

Third-party platforms and providers

Some services may use or integrate platforms and services supplied by third parties.

These may include ecommerce platforms, cloud services, payment processors, advertising platforms, analytics tools, CRMs, email services, APIs or other technologies.

Those providers independently determine their prices, functionality, policies, terms of use and service availability.

Unified Systems cannot control changes made independently by third parties.

If such a change affects a project, we will assess the impact and, where necessary, adaptation work may be subject to an additional intervention or proposal.

26

Automation and artificial intelligence

Some Unified Systems products and services may use automation, algorithms, software systems or artificial intelligence models.

These technologies may assist with analysis, classification, data processing, content generation, recommendations or process automation.

Results may require human interpretation or verification.

Except where a service is expressly defined as assuming a particular decision or professional responsibility, the Client remains responsible for the commercial decisions it makes based on the information or recommendations provided.

27

Reports, analyses and recommendations

Unified Systems reports reflect the information, data and conditions available or analysed at the time they are generated.

Data obtained from external sources may be affected by the availability, quality and changes of those sources.

Recommendations reflect Unified Systems’ analysis of the available context and do not constitute a guarantee of any particular commercial result.

The Client must take account of its own circumstances and, where necessary, obtain specialised legal, tax, financial or other professional advice.

28

Commercial results

Unless a result is expressly guaranteed in an individual agreement, Unified Systems does not guarantee any particular level of:

  • sales;
  • traffic;
  • leads;
  • cost per acquisition;
  • SEO ranking;
  • advertising performance;
  • conversion rate;
  • return on investment.

Commercial results also depend on factors outside our control, including the market, competition, the Client’s offer, budgets, user behaviour, algorithms and third-party platform policies.

29

Liability

Unified Systems is responsible for performing the obligations assumed under the applicable product, proposal or agreement and applicable law.

To the extent permitted by law, liability relates to direct, foreseeable and proven losses resulting from culpable non-performance of the obligations assumed.

These Terms do not introduce a general financial cap on liability.

Where the nature of a B2B project requires specific rules regarding liability, those rules may be established separately through an individual agreement within the limits permitted by law.

Nothing in these Terms excludes or limits liability where the law prohibits such exclusion or limitation.

Mandatory consumer rights remain unaffected.

30

Website availability

Unified Systems makes reasonable efforts to keep the website functional and secure.

We cannot guarantee permanent, uninterrupted or entirely error-free operation.

The website may be temporarily unavailable due to:

  • maintenance;
  • updates;
  • technical incidents;
  • third-party providers;
  • hosting issues;
  • security incidents;
  • events outside our reasonable control.

We may modify website functionality and content without those changes retroactively affecting a contract already concluded, except where required by law or agreed by the parties.

31

External links

The website may include links to pages or services operated by third parties.

Unified Systems does not control or guarantee their content, availability, security or policies.

External websites are accessed subject to the terms of their respective operators.

32

Personal data protection

The processing of personal data is described in the Unified Systems Privacy Policy.

That policy explains the types of data processed, purposes, legal bases, retention periods, recipients and the rights of data subjects.

Personal data is processed in accordance with Regulation (EU) 2016/679 and the applicable Romanian legal framework, including Law no. 190/2018.

Sending a commercial enquiry does not automatically constitute consent to receive marketing communications.

33

Cookies

Information concerning cookies and similar technologies is provided separately in the Cookie Policy.

Where the use of a technology requires consent, it will be activated in accordance with the choices expressed through the consent management mechanism available on the website.

34

Commercial communications

Messages required to fulfil an order, confirm a payment, deliver a report, communicate about a project or respond to a Client request are operational communications.

Commercial and promotional communications are managed separately in accordance with applicable law.

Where consent is required for marketing, it will be requested separately.

35

Confidentiality

During projects, the parties may gain access to non-public commercial, technical, financial or operational information.

Such information will be used for the purposes of the commercial relationship and protected through reasonable measures.

Information is not confidential where it:

  • was lawfully public;
  • becomes public without fault of the receiving party;
  • was already lawfully known;
  • was lawfully obtained from another source;
  • must be disclosed due to a legal obligation.

An NDA or individual agreement may establish additional rules.

36

Force majeure

Neither party is liable for failure to perform its obligations where performance is prevented by a force majeure event recognised under applicable law.

The affected party will inform the other party within a reasonable timeframe and will seek to limit the effects of the event.

If the impossibility continues and prevents performance of the contract, the situation will be handled in accordance with the law and the applicable agreement.

37

Complaints and support

For issues concerning an order, product or service, the Client may contact:

Email
contact@unifiedsystems.ro
Phone
0775 111 888

To help us resolve the request more quickly, we recommend including the information necessary to identify the relevant order or project.

The internal complaints procedure does not limit consumers’ statutory rights.

38

Alternative dispute resolution

Consumers may use the Alternative Dispute Resolution mechanism coordinated by the Romanian National Authority for Consumer Protection, ANPC.

Alternative Dispute Resolution, known in Romanian as SAL, allows certain disputes between consumers and traders to be resolved amicably outside court proceedings.

AUTHORITYANPC · Alternative Dispute ResolutionOfficial information about the SAL / ADR procedure available to consumers.↗
39

Exercising withdrawal online

Where applicable legislation requires a distance contract to offer an online function for exercising the right of withdrawal, Unified Systems will provide the necessary mechanism.

The existence of such a function does not mean that every product benefits from a right of withdrawal in every circumstance.

For digital products supplied immediately, the rules and exceptions described in sections 18 and 19 apply.

40

Applicable law and disputes

These Terms are governed by Romanian law.

Where possible, the parties will seek to resolve any disagreement amicably.

For B2B relationships, an individual agreement may establish additional rules concerning dispute resolution and court jurisdiction.

For consumers, mandatory rules concerning jurisdiction and consumer protection apply.

41

Changes to the Terms

Unified Systems may update these Terms to reflect:

  • changes in legislation;
  • changes to services;
  • the introduction of new products;
  • changes to commercial mechanisms;
  • security requirements;
  • necessary clarifications.

The published version will state the date of the latest update.

Changes apply prospectively.

Contracts already concluded remain subject to the conditions applicable on the date they were concluded, except where a change is required by law or validly accepted by the parties.
